1. License Grant

Upon purchase, Paraflex Audio grants you a non-exclusive, non-transferable license to use the software on computers you own or control. The license is limited to a single user. For Ambitura, you may activate the software on the number of machines included in your active plan or add-on seats.

2. Permitted Uses

You may:

  • Use the software for commercial and non-commercial projects
  • Install on multiple computers you personally own (subject to activation limits)
  • Create and distribute content produced using our software
  • Receive updates according to your product license, active subscription, or support terms

3. Restrictions

You may not:

  • Share your license key or download links with others
  • Reverse engineer, decompile, or disassemble the software
  • Resell, rent, lease, or lend the software
  • Remove or modify any copyright notices
  • Circumvent license verification or activation systems
  • Use the software on more machines than your license permits

4. Ambitura Specific Terms

For Ambitura users:

  • Machine Activation: Machine limits depend on your Ambitura plan: Solo includes 1 active machine, Studio includes 3, Enterprise includes 5, with add-on seats where available. You can deactivate machines through your account.
  • Internet Connection: Periodic internet connection is required for license verification. The software allows up to 7 days of offline use.
  • Subscription: Ambitura Cloud AI features require an active subscription. Local/offline features work independently.
  • Data Processing: Local analysis is performed on your machine. Optional Cloud AI sends extracted low-resolution frame snapshots for the selected cloud pass; full video files are never uploaded.

5. Use of Artificial Intelligence

Ambitura uses artificial intelligence (AI) and machine learning technologies for scene detection, classification, and analysis. By using the Software, you acknowledge and agree to the following:

  • Local AI Models: The Software includes pre-trained AI vision models (including models derived from SigLIP2, DINOv2, and ResNet architectures) that run entirely on your device. No data leaves your machine during local AI processing.
  • Cloud AI Features (Optional): When you enable Cloud AI, extracted video frame data (low-resolution image snapshots) is transmitted to Amazon Web Services (AWS) for processing via AWS Bedrock AI services. Full video files are never uploaded. AWS does not use API inputs or outputs to train its models.
  • AI Verification Agent (Optional): The optional AI Verification Agent is powered by Google Gemma 3, running locally via the Ollama runtime. By enabling this feature, you agree to comply with the Gemma Terms of Use, including Google's Prohibited Use Policy.
  • AI Output Disclaimer: AI-generated classifications, labels, and recommendations are probabilistic and may contain inaccuracies. You are responsible for reviewing and validating all AI-generated outputs before relying on them in production workflows.
  • Model Updates: We may update, replace, or add AI model providers to improve the Software. We will update these Terms and our Privacy Policy when material changes to AI data processing occur.

6. Third-Party AI Service Providers

When Cloud AI features are enabled, data may be processed by the following third-party providers:

  • Amazon Web Services (AWS): Cloud scene classification via AWS Bedrock. Processed in accordance with the AWS Service Terms. No video files or personal information are shared — only anonymized frame snapshots.
  • Google (Gemma 3): Model runs locally on your device. No data is sent to Google.

7. User Content and Acceptable Use

You retain all ownership rights to your video files, audio files, project data, and any other content you process using our software ("User Content"). Paraflex Audio claims no ownership or intellectual property rights over your content.

You are solely responsible for ensuring that all User Content you process with the Software complies with applicable laws. You agree not to use the Software to process, analyze, store, distribute, or transmit any content that:

  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Constitutes, depicts, or facilitates child sexual abuse material (CSAM) or the exploitation of minors
  • Infringes any copyright, trademark, trade secret, or other proprietary right of any party
  • Violates the privacy or publicity rights of any person
  • Violates any applicable local, state, national, or international law or regulation

When you enable Cloud AI features, you represent and warrant that any content transmitted to third-party services (including extracted frame data sent to AWS) does not violate their acceptable use policies. We are not responsible for any action taken by third-party providers (including content flagging, account suspension, or reporting to authorities) in response to your content.

We do not monitor, review, or screen User Content processed by the Software. We have no obligation to detect illegal or objectionable content and assume no liability for User Content of any kind. We reserve the right to cooperate with law enforcement and comply with legal processes.

8. Indemnification

You agree to indemnify, defend, and hold harmless Paraflex Audio, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Software; (b) any User Content you process, transmit, export, or distribute using the Software; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right. This obligation survives termination of your license.

9. Intellectual Property

All software, documentation, and materials remain the exclusive property of Paraflex Audio. This license grants you the right to use the software but does not transfer ownership.

10. Warranty Disclaimer

The software is provided "as is" without warranty of any kind. While we strive for quality, we cannot guarantee uninterrupted or error-free operation. AI-generated outputs are provided on an "as is" basis and may contain errors or inaccuracies. Use at your own risk.

11. Refund Policy

All sales of digital products are final and non-refundable. We encourage you to review all product documentation and feature lists before purchasing. By completing a purchase, you acknowledge that you agree that no refunds will be issued. See ourRefund Policy for complete details.

12. Updates and Support

Eligible one-time purchases include updates and email support. Subscription products include updates and support while the subscription remains active. We reserve the right to discontinue support for older operating systems and software versions as technology evolves.

13. Termination

This license is effective until terminated. We may terminate your license if you breach these terms. Upon termination, you must destroy all copies of the software.

14. Privacy

Your use of our software is also governed by ourPrivacy Policy, which describes how we collect, use, and protect your information.
